Good Governance

Good governance is critical to our success. Cambrian’s Board of Directors’ primary responsibility is to lead the strategic direction of the Credit Union through strong, responsible, and ethical governance.

The Cambrian Credit Union Board is committed to ensuring its directors have diversified skill-sets and possess the relevant experience and expertise that will optimize our performance as an organization.

Qualifications

We are seeking the nominations and applications of qualified candidates to stand for election to Cambrian Credit Union’s Board of Directors.

Cambrian is a Manitoba-based credit union, committed to reflecting the diversity of our membership. We value full inclusion that allows our colleagues and director-elect candidates to bring their diverse voices to the organization and connect us closer to the members and the communities we serve.

As a competency-based Board of Directors, we are currently looking for director-elect candidates with the following experience and qualifications:

  • Board governance level experience serving on or working with corporate boards of organizations of similar size and scope to Cambrian;
  • Senior level management and/or consulting experience with strategic business transformation initiatives;
  • Understanding of operational compliance within a complex policy and regulatory environment;
  • Strong working knowledge and oversight of large-scale enterprise-wide projects.

All directors and nominees for the Board must meet the qualifications specified in the Credit Union's by-laws and the Credit Unions and Caisses Populaires Act.

Those include, but are not limited to:

  • Candidates must be a Cambrian member in good standing for at least 60 days prior to assuming a directorship role;
  • Candidates must not have been an employee of the Credit Union at any time during the last five years;
  • Candidates must not be directors or employees of another credit union.

Nominations and the Elections Process

Cambrian’s Directors are elected by Cambrian’s membership through a democratic voting process. These votes come from our 68,000 plus members whose assets with Cambrian exceed $4.6 billion.

Eligible voters are those who are members on the date our Annual General Meeting (AGM) is announced (approximately 6 weeks prior to the AGM) and are 18 years of age or older.

On an annual basis, the Board of Directors issues a call for nominations. This call for nominations is contained within our first newsletter in a new calendar year, as well as being posted in our branches and on our website.

Nominees submit their names and biographies to the Corporate Secretary, and are interviewed by the Board’s Nominating Committee. The Board of Directors may endorse the candidate(s) running for election and/or re-election. Candidate names and biographies are posted in Cambrian branches and published in a voter’s package sent to each eligible Cambrian voting member. Members vote by secret ballot that is tabulated by a selected scrutineer. The candidate(s) with the greatest number of votes by the closing date of the election win(s) his or her seat on the Board of Directors.

Results are announced at Cambrian’s Annual General Meeting in April.
